Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, services, and programs operated by Mihaly Fit LLC, doing business as Elite Coaching Academy ("ECA", "we", "us", or "our"), including the websites located at ecamentor.com and any subdomains, together with all related coaching programs, communities, and digital products (collectively, the "Services"). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. About Us

Elite Coaching Academy is a business and coaching operating system for online fitness coaches and health professionals. The Services are provided by Mihaly Fit LLC, a United States limited liability company. All references to "Elite Coaching Academy" or "ECA" in these Terms refer to Mihaly Fit LLC.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services you represent and warrant that you are at least 18, that you have the legal capacity to enter into these Terms, and that all information you submit is accurate and truthful.

3. Services and Program Description

ECA provides business coaching, community access, educational content, live calls, written and recorded materials, and related support services. Specific deliverables, session frequency, and program length are described at the point of purchase or in your program agreement. Nothing on the Services constitutes medical, legal, tax, or financial advice. You are solely responsible for decisions you make in your own business and for your own health.

4. Your Account and Conduct

You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You agree not to use the Services to violate any law, to infringe on the rights of others, to harass or harm any person, to share confidential ECA materials outside of the paid community, or to reverse engineer or resell our proprietary frameworks, recordings, or written content without written permission.

5. SMS and Text Messaging Terms

When you provide your phone number and check a consent box on our forms, you consent to receive automated text messages from Elite Coaching Academy (Mihaly Fit LLC) at that number. We operate two separate SMS programs and obtain separate consent for each.

Transactional SMS. Transactional messages relate to a specific inquiry, appointment, application, onboarding step, or active program participation. Examples include appointment confirmations, onboarding reminders, payment receipts, and responses to questions you have submitted.

Marketing SMS. Marketing messages relate to promotions, new program launches, events, content drops, and other offers from Elite Coaching Academy. Consent to receive marketing SMS is not a condition of purchasing any good or service.

For both programs: message frequency varies. Message and data rates may apply based on your mobile carrier plan. You may opt out of either program at any time by replying STOP to any message from us. You may request assistance by replying HELP or by contacting us using the information below. We process opt-outs promptly and will send a final confirmation message acknowledging your opt-out. If you change or deactivate the number you provided, you agree to notify us.

Carriers are not liable for delayed or undelivered messages. Supported carriers include AT and T, Verizon, T-Mobile, Sprint, US Cellular, and most other major United States carriers. For privacy information related to SMS, see our Privacy Policy.

6. Fees, Payment, and Refunds

Fees for paid programs are disclosed at the point of purchase. You authorize us or our payment processor to charge the payment method you provide for all fees owed. Payment plans, if offered, are governed by the specific program agreement you sign. Except as expressly stated in your program agreement or as required by applicable law, all payments are non-refundable. Any written satisfaction or results guarantee provided to you separately will control in case of conflict with this section.

7. Intellectual Property

All content on the Services, including text, graphics, logos, frameworks, recordings, written curriculum, software, and compilations, is owned by Mihaly Fit LLC or its licensors and is protected by United States and international intellectual property laws. Enrollment in a program grants you a limited, non-transferable, non-exclusive license to access program materials for your personal business use during your active enrollment. You may not redistribute, resell, publicly post, or create derivative works from program materials without our prior written consent.

8. Testimonials and Results Disclaimer

Results described on the Services or in marketing materials reflect specific client outcomes and are not a guarantee of future results. Outcomes vary based on individual effort, experience, market conditions, and execution. We make no earnings claims or guarantees of specific income or business results.

9. Third Party Services

The Services may link to or integrate with third party platforms, including payment processors, scheduling tools, community hosting, email and SMS providers, and analytics vendors. Your use of those third party services is subject to their own terms and privacy practices. We are not responsible for the content, policies, or availability of third party services.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error free, or that any specific business, financial, or health outcome will be achieved.

11. Limitation of Liability

To the maximum extent permitted by law, Mihaly Fit LLC and its affiliates, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising from your use of the Services. Our total aggregate liability to you for any claim arising from or related to the Services will not exceed the greater of the amount you paid to us in the twelve months preceding the claim or one hundred United States dollars.

12. Indemnification

You agree to indemnify and hold harmless Mihaly Fit LLC and its affiliates from any claims, damages, liabilities, costs, and expenses, including reasonable attorneys fees, arising from your use of the Services, your violation of these Terms, or your violation of any rights of any third party.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration in the state and county where Mihaly Fit LLC maintains its principal place of business, except that either party may bring an individual action in small claims court. You waive any right to participate in a class action. If any part of this section is held invalid, the remainder will remain in effect.

14. Modifications

We may update these Terms from time to time. When we do, we will update the Effective Date above and, for material changes, provide reasonable notice by email or through the Services. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

15. Termination

We may suspend or terminate your access to the Services at any time for any violation of these Terms or for any conduct we reasonably believe is harmful to ECA, our team, our community, or any third party. Sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
